Terms & Conditions
These Terms and Conditions govern the engagement of accountancy, taxation, bookkeeping, and advisory services provided by MSM Accountancy.
1. Engagement Overview & Scope
These Terms and Conditions ("Terms") apply to all professional accountancy, tax preparation, bookkeeping, payroll, and Virtual FD advisory services provided by MSM Accountancy ("the Practice", "we", "us") to business entities, contractors, sole traders, and individual clients ("the Client", "you").
Specific engagement details, scope of work, fixed fee schedules, and responsibilities are confirmed in your formal Engagement Letter issued prior to service commencement.
2. Professional Standards & CIMA Governance
As a CIMA-qualified accounting practice, MSM Accountancy adheres strictly to the Chartered Institute of Management Accountants Code of Ethics, technical guidance, and professional behavior standards. We exercise professional competence, due care, and integrity in all client matters.
3. Client Responsibilities & Data Accuracy
To enable us to fulfill statutory filing deadlines with HMRC and Companies House accurately, the Client agrees to:
- Provide complete, truthful, and timely accounting records, bank statements, invoices, and expense documentation.
- Notify us promptly of any significant business changes, asset acquisitions/disposals, or director adjustments.
- Approve statutory accounts, tax returns (CT600, SA100, VAT), and filings before submission deadlines.
The Client remains legally responsible for the accuracy of statutory returns submitted on their behalf.
4. Fees, Billing & Payment Terms
Services are delivered under agreed transparent fixed-fee retainers or project fees outlined in your Engagement Letter.
- Payment Due Dates: Invoices are payable within 14 calendar days of issue or via recurring Direct Debit.
- Late Payments: We reserve the right to suspend ongoing accounting work if accounts remain unpaid beyond terms.
- Out of Scope Work: Additional ad-hoc advisory outside the initial engagement will be quoted and agreed upon in writing prior to work execution.
5. Confidentiality & Anti-Money Laundering (AML)
All client information is kept strictly confidential. Under the UK Money Laundering, Terrorist Financing and Transfer of Funds Regulations, we are required by law to verify client identity and report suspicious financial activities to the National Crime Agency (NCA) without prior notification.
6. Limitation of Liability & Governing Law
Our total cumulative liability to the Client for any loss, damage, or claim arising out of our engagement shall be limited to the professional indemnity insurance limit maintained by the Practice.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
